1. Language Disclaimer

 

It is the express wish of all parties that The Global Order of Middle Eastern Christians, Inc. website, Terms and Conditions and all related documents, including notices and other communications are drawn up in the English language only.

 

2. Governing Law and Jurisdiction

This Agreement is governed by and shall be construed and interpreted in accordance with the laws of Ontario, Canada and each Party hereby submits to the non-exclusive jurisdiction of the Ontario, Canada courts.

 

3. Severability

If any provision of this Agreement is held invalid, illegal or unenforceable for any reason by any Ontario, Canada court of competent jurisdiction, such provision shall be severed without effect to the remaining provisions. If a provision of the Terms and Conditions that is fundamental to the accomplishment of the Company managing its operations or providing Services is held to any extent to be invalid, The Global Order of Middle Eastern Christians, Inc. shall immediately endeavour in good faith to seek an alternative solution to remedy that invalidity.

4. General Disclaimer

 

BY VISITING OR USING THE GLOBAL ORDER OF MIDDLE EASTERN CHRISTIANS, INC. WEBSITE (the “Site”), www.gomec.org and all mobile websites and all associated applications (collectively, the “Site“), regardless of device used to access any of the Company Sites, which  are owned and operated by The Global Order of Middle Eastern Christians, Inc. and its affiliates (collectively, "the Company", "we", "our" or "us") and content available through the www.gomec.org domain name and any other affiliated domain name, YOU SIGNIFY YOUR AGREEMENT AND ACCEPTANCE TO BOTH THESE TERMS AND CONDITIONS (the “Terms and Conditions” OR “Site Terms”).

Access to the Company Sites is offered to you on the condition that you accept without any amendments the terms, conditions and disclaimers contained herein. Your use of the Company Sites and the content therein constitutes your agreement to all such Terms and Conditions. Any personal information collected, used or disclosed by the Company or its affiliates through the Sites is subject to the Company Privacy & Cookie Policy. By becoming a member, customer, purchasing a membership or Service, or corresponding with the Company, you acknowledge and consent to The Global Order of Middle Eastern Christians, Inc. sending correspondence to you, including electronic correspondence, such as marketing emails for the purpose of informing prospects, members and customers of Company news updates, Product and Service offerings, promotions, surveys, obtaining feedback, humanitarian campaigns, and other general information and advertising.

The Global Order of Middle Eastern Christians, Inc. marketing emails include a link for unsubscribing. If you no longer wish to receive marketing correspondence from the Company, we will apply your unsubscribe request as quickly as possible; however, because there may be periods when staff is experiencing unusual delays, high volume, or work backlogs due to seasonality, or other reasons beyond the Company’s control, you may continue to receive emails for a short period of time until your unsubscribe request has been addressed, after which you should no longer receive marketing emails. You will still however receive emails regarding your transactions (i.e. e-mailed invoices; purchase orders confirming an order; correspondence between customers, members, prospective customers, prospective members; and any other communications between the public and the Company).

You agree that you will not use the Site or Services in any way that could infringe on the intellectual property rights, any copyright, trade-mark, or patent, or any other intellectual property of any person or company, or its affiliates.

The Global Order of Middle Eastern Christians, Inc., reserves the right to remove any information that you post, upload, publish, transmit, distribute or otherwise use on the Sites, in whole or in part, at any time, at its sole discretion and without prior notice.

The Global Order of Middle Eastern Christians, Inc. does not endorse any submission or any opinion, recommendation or advice that any visitor, user, member or customer may submit on or through the Site and the Company expressly disclaim any and all liability in connection with any such submissions to the Site.

You also agree that you will not use any device or software or employ any routine that circumvents, interrupts, or interferes or attempts to interfere with the proper working of the Company Site and you acknowledge that these actions are expressly prohibited. You also agree that in the event the Company enhances its Sites or Services to include protected web pages that provide access to and use of password protected and/or secure areas of the Site, that these areas are restricted to authorized users only. Unauthorized individuals attempting to access these areas of the Site may be subject to prosecution.

​​10. Purchase or Cancellation of Services

Unless otherwise stated, Services will be sold in intervals of 1 year, where the beginning date of Service will be the activation date, and the end of Service will be after an elapsed period of one calendar year, or 364 days after the beginning activation date for a total provided Service of 365 days.

All purchases of Products and Services will be deemed to have taken place in Ontario, Canada for the purpose of identifying point of sale.

Members and Customers will agree that fees for the purchase of Directory Services are on a per directory heading, and per physical address location basis, and additional listing fees will be incurred for multiple directory headings and/or multiple physical address locations.

The Global Order of Middle Eastern Christians, Inc. will allow the cancellation of a purchased membership or Directory listing, minus a $10.00 processing fee, within fifteen (15) calendar days of activation without requiring a reason to cancel. To cancel a membership or Directory listing, members or customers will need to provide notice to the Company with the order transaction number and details of the purchase desired to be cancelled. The Company management may waive the processing fee on a case-by-case basis, at its sole discretion.

The Global Order of Middle Eastern Christians, Inc. reserves the right to limit or decline refunds and may refuse a refund request if we determine, at our sole discretion, that there is evidence of fraud, refund abuse, or any other manipulative and unscrupulous behaviour.

 

Notice to cancel a membership or Service must be submitted in writing. Members or customers can e-mail their cancellation letter, or send notice by registered mail.

Refunds are in the currency funds of the original payment. Credit card processors may take up to ten (10) additional business days or longer to post the refund to your account.

11. Termination of Use or Refusal of Service

By visiting or using The Global Order of Middle Eastern Christians, Inc. Site and/or purchasing Services in any manner, you agree that the Company reserves the right that, if in its sole discretion, it determines that your use of the Site or Services has intentionally, or unintentionally breached or violated the Site Terms and Conditions of use that the Company may immediately remove any offending material that you may have posted, cease or suspend providing any or all parts of its Services to you, without any prior notice to you, refuse to provide any further or future Services to you, and that in such an event you may not be entitled to any refund of any fees paid prior to the termination of Services.

12. Maximum Liability

By visiting or using the Services of the Company Sites, you accept that it is the express wish of all parties, and it is acknowledged and agreed that the maximum amount of the aggregate Liability that may be due to any member or customer related to, or in connection with these Terms and Conditions, or the purchase of products or Services will be limited to the total amount previously paid by the member or customer to The Global Order of Middle Eastern Christians, Inc. for the Service in question rendered hereunder for the twelve (12) month period immediately preceding the first event which gave rise to such Liability.

13. Indemnity

BY USING OR VISITING THIS WEBSITE YOU ACKNOWLEDGE AND EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR SOLE AND OWN RISK.

You agree to defend, indemnify and hold harmless The Global Order of Middle Eastern Christians, Inc, and its affiliates as well as its respective directors, officers, trustees and employees against all actions, allegations, claims, costs and expenses, demands, judgements, liabilities, losses, obligations, settlements and suits, including reasonable attorneys' fees and costs, related to any violation, act or omission of these Terms and Conditions, or in any way arising out of the use of the Site, including without limitation, the placement or transmission of any information, content or other materials on the Site by you or users of your account.

14. Event of Force Majeure

By accessing The Global Order of Middle Eastern Christians, Inc. Site, becoming a member, purchasing products, subscribing to any of the Company’s Services or joining the business directory, you acknowledge and expressly consent your agreement that an “Event of Force Majeure” means an event beyond the reasonable control of the Company, which could not be prevented, avoided or removed, where such event materially and adversely affects the ability of the Company to perform its obligations under these Terms and Conditions, and where the Company has taken reasonable precautions and due care in order to mitigate the effect of such event on the Company’s ability to perform its obligations and mitigate the consequences thereof.

 

15. Instances of Force Majeure

Events of Force Majeure shall include, but not be limited to:

(I) a riot, an act of war (whether declared or not), hostilities, imposition of martial law, embargo, violent demonstrations, invasion, blockade, act of foreign enemies, terrorism or civil disorder, rebellion, revolution, insurrection of military or usurped power;

(II) ionizing radiations, contamination or radioactivity from any nuclear fuel, or from any nuclear waste from the combustion of nuclear fuel, radioactive toxic explosive or other hazardous properties of any explosive nuclear assembly or nuclear component thereof;

(III) fire, earthquake, chemical contamination, lightning, tornado, flood or other natural disaster, cyclone, hurricane, drought or other such extreme weather or environmental conditions, famine, unanticipated geological or ground conditions, plague or other epidemic, or other natural calamities and acts of God;

(IV) pressure waves from aerospace craft traveling at supersonic speeds or damage caused by any aircraft or similar aerial device traveling at sonic or supersonic speeds;

(V) sabotage, accident, damage or destruction of property, plant or equipment, explosion, or structural collapse, caused by a person who is not affiliated, directly or indirectly to the Company, or one of its suppliers, contractors or subcontractors or any of their respective employees or agents;

(VI) lockouts, politically motivated strike or labour stoppage or dispute; labour stoppage, strike, or dispute at the national level, or industrial stoppage, strike, or dispute at the national level, by employees not employed by the Company, its contractors, suppliers or subcontractors affecting on a general basis an industry related to products or Services supplied by the Company and which is not attributable to any unreasonable action or inaction on the part of the Company, or any of its suppliers, contractors, or subcontractors and the settlement of which is beyond the reasonable control of all parties;

(VII) discontinuation of electricity supply, Internet, or telecommunication services, or website service, not covered by the agreement concluded with the service providers;

(VIII) other unforeseeable circumstances, or unknown unknowns, beyond the control of the Company where it would have been unreasonable to expect that the Company could have foreseen, or for the Company to have taken precautions against and which could not have been avoided even using best efforts;

(IX) non-performance by a supplier, contractor, subcontractor, or counter-party to a contract relating to the Company’s business operations by reason of an event or circumstance that would constitute a Force Majeure Event under these Terms and Conditions;

(X) failure or inability of the Company to obtain or renew any consent, on terms and conditions that are favorable in all material respects as those contained in the original consent relating to the Company’s business operations (other than due to a breach of the Company’s Terms and Conditions);

(XI) any action or failure to act without justifiable cause by any Competent Authority, other than a court or tribunal (including any action or failure to act without justifiable cause by any duly authorized agent of any Competent Authority, other than a court or tribunal);

(XII) any legal prohibition on the Company’s ability to conduct its business operations, including the passing of a statute, decree, regulation or order by a Competent Authority prohibiting the Company from conducting its business operations, other than as a result of the Company’s failure to comply with the law or any order, consent, rule, regulation or other legislative or judicial instrument passed by a Competent Authority;

which in each of the above cases directly causes either party to be unable to comply with all or a material part of its obligations under these Terms and Conditions and provided that any breakdown of plant or equipment (unless itself caused by an Event of Force Majeure), or unavailability of funds, shall not constitute an Event of Force Majeure.

16. Consequences of Force Majeure Event

If, and to the extent, that the Company is prevented from executing the Services and performing its obligations under these Terms and Conditions by the Event of Force Majeure, while the Company is so prevented, the Company shall be relieved of its obligations to provide the Services but shall endeavor to continue to perform its obligations so far as reasonably practicable.

The Company shall be excused from performance and shall not be in default in respect of any obligation hereunder to the extent that the failure to perform such obligation is due to an Event of Force Majeure.

If and to the extent that the Company is prevented from executing the Services by an Event of Force Majeure, if, and to the extent possible, the Company shall engage in best efforts to extend the end date of Services to members by a period of time equal to the period of interruption caused by an Event of Force Majeure.

17. Notice of an Event of Force Majeure

If The Global Order of Middle Eastern Christians, Inc. wishes to claim protection in respect of an Event of Force Majeure, it shall, as soon as possible following the occurrence or date of commencement of such Event of Force Majeure, shall, if possible, provide notice of the nature and expected duration of such Event of Force Majeure and shall thereafter provide periodic updates until such time as the Company is once again able to perform its obligations. The Company shall use its reasonable endeavors to:

(I) mitigate and/or overcome the effects of the Event of Force Majeure;
